The elements that make an agreement an enforceable contract in common-law systems: offer, acceptance, consideration, intention to create legal relations, capacity and legality, together with mutual assent, certainty of terms, the Statute of Frauds, free consent and promissory estoppel.

Use it when

  • You are analyzing whether an agreement is likely to be a binding contract.
  • You need the standard names of the formation elements.

Watch out for

  • Civil-law systems do not use consideration in the same way; formation rules differ by jurisdiction.
  • Some contracts, such as those for land, must be in writing to be enforceable.
